TERMS AND CONDITIONS OF SALE 2023 This Agreement is effective from January 1, 2023 Searches & Seizures Auctions LLC BY AGREEING TO THE TERMS & CONDITIONS POSTED FOR THE SALE, YOU AGREE AND ACKNOWLEDGE THAT YOU ARE ENTERING INTO A LEGALLY CONTRACTUALLY BINDING AGREEMENT WITH SEARCHES & SEIZURES AUCTION HOUSE (SSAH), AND FULLY AGREE TO ABIDE BY AND UPHOLD ALL TERMS AND CONDITIONS OF SALE WITHOUT FAIL. 1. These Terms and Conditions of Sale ("Terms") are a legally binding contract between Searches & Seizures Auctions LLC (hereinafter "Searches & Seizures"), the seller, and the buyer who purchases items from Searches & Seizures through registering to bid, or by participating in the event, its online auctions, in-store sales or other similar methods of sale. I. All sales are final. NO REFUNDS and NO EXCHANGES -NO EXCEPTIONS will be given under any circumstances; all sales are considered 'final'. Buyer is responsible for the item upon successful winning bid. Title passes to buyer at the fall of the hammer, success of online bidding, or verbal agreement by Searches & Seizures staff. The highest bidder acknowledged by Searches & Seizures shall be the purchaser of that lot. If a dispute arises between two or more bidders at an auction, Searches & Seizures reserves the right to reopen bidding as it deems appropriate in its sole discretion. In cases of dispute we reserve the right to re-sell said lot 2. By participating in an auction, bidding on items, submitting absentee bids or otherwise purchasing items from Searches & Seizures, Buyer agrees to abide by these Terms and all other applicable rules as established by Searches & Seizures. 3. All property listed for sale is sold "as-is", without warranty or representation of any kind, expressed or implied. All catalogue descriptions, condition reports, photographs and illustrations provided by Searches & Seizures are for informational purposes only and shall not be construed, nor interpreted as an expressed, unexpressed, implied or unimplied, warranty or guarantee of any kind. 4. Buyer is solely responsible for carefully reading all Terms prior to bidding on items and agrees to pay in full the total purchase price including applicable taxes, shipping & handling charges, a 3.50% Credit Card Processing Fee and any other additional costs associated with the item(s) purchased from Searches & Seizures. 5. All purchases must be paid for in full upon reception of the issued invoice, on the day of sale, and no later than 72 hours after the close of the auction. Searches & Seizures reserves the right to void any transaction if payment is not made in full at the conclusion of the auction. The buyer's premium is 25% and applies to all lots purchased. All bids are per lot as numbered in the catalogue and no lot shall be divided for sale. We accept cash, money orders, travelers checks, bank wire transfers or direct ACH payments via Zelle or Apple pay. If paying via cash, bank wire transfer, Zelle, Apple pay or an ACH, a 3.50% discount will be applied to your total invoice as we will not charge you unnecessary Credit Card processing fees. Credit cards will be accepted with additional 3.50% surcharge (credit card terms). 6. All sales from Searches & Seizures LLC are final and the Buyer waives all rights of return or refund, and/or chargeback dispute with any bank, credit card company, or partner platform. 7. The buyer is responsible for all payments including: Total Lots Won, Buyer?s Premium, Shipping/Handling/Insurance, and Sales Tax (if applicable). Buyers acknowledge all purchased items at their own expense and assumes full responsibility for any damage or loss that may occur during transit. All items must be removed by the buyer at his/her expense immediately following the sale, or within two days of the auction date without exception (no weekend pickup). Searches & Seizures is not responsible for any damage or loss that occurs after an item has been purchased and released from our possession. Searches & Seizures reserves the right to charge a storage fee of 10% per day on all purchases that remain after two days without prior arrangements being made with Searches & Seizures for removal of said purchases. When you receive your invoice, you will have the option to pay through the second email received. We send out the Proxibid detailed invoice with all fees, costs, and in-depth breakdown of all lots won along with a separate email where you can remit payment in the full amount shown on the Proxibid invoice. We accept: Debit & Credit Cards (Visa, MasterCard, Discover and American Express), (ACH) bank wire transfers, cashier's checks, & money orders. For items purchased online, you will be emailed an invoice after the auction's close. The invoice includes any and all costs including shipping, handling, insurance, and sales tax. If payment cannot be made within three days, it is YOUR responsibility to contact us at (307) 640-0306, or email us to make arrangements. IF YOUR INVOICE IS OVER $2,500.00 YOU MAY NOT PAY WITH ANY PAYMENT METHODS BUT A WIRE TRANSFER. CONTACT US IMMEDIATELY if you are unable to pay through our online check-out system within the three day span. If paying by check, money order, or cashier's check, Searches & Seizures reserves the right to hold all purchases until the check has cleared to the satisfaction of Searches & Seizures and its bank. If we are prevented by fire, theft, or any other reason whatsoever from delivering any property to the purchaser, our liability shall be limited to the sum actually paid, by the purchaser for such property. 8. Buyers must comply with all applicable local, state and federal laws when purchasing items from Searches & Seizures and will hold harmless Searches & Seizures in the event of any claims or suits related to the purchase of any item(s). 9. In the event of a dispute between Buyer and Searches & Seizures, both parties shall attempt to resolve their disputes through good faith negotiations and, if the Buyer and the Company cannot reach a settlement between each other, the dispute will be settled through arbitration. 10. These Terms are governed by and construed under the laws of the state in which Searches & Seizures is located. 11. By participating in any sale conducted by Searches & Seizures, all buyers agree to be bound by these Terms. If any portion of these Terms is deemed invalid or unenforceable, then that provision shall be amended consistent with applicable law as nearly as possible to reflect the original intention of the parties and the remainder of these Terms shall remain valid and enforceable according to its terms. 12. Searches & Seizures reserves the right to modify or revise these Terms at any time without prior notice and all modifications shall be effective upon posting on www.searchesandseizuresauctions.com Any action taken by Buyer in conflict with the Terms shall be considered an attempt to alter this agreement, which is not permitted and will render these terms voidable. No waiver of any breach of any provision of these Terms shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing signed by both parties. 13. These Terms constitute the entire agreement between Searches & Seizures LLC and Buyer and supersede any prior agreements or understandings, oral or written. No party may assign its rights hereunder without the prior written consent of the other parties. By bidding on items offered by Searches & Seizures, Buyer agrees to be bound by all of these Terms. 14. If legal action is initiated to enforce these Terms and/or collect amounts due hereunder, the party whom filed the dispute will be charged a $500.00 penalty, administration fees, attorneys fees, and liquidated damages at 25% of the invoice total. The prevailing party shall be entitled to reasonable attorneys' fees and costs in addition to any other relief which may be awarded. All payments are exclusive of taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties arising from your purchases made through Searches & Seizures. II. In the event of any dispute or difference that may arise between the parties out of or in connection with this Agreement, such dispute shall be referred for resolution to the Chief Executive Officer of Searches & Seizures Auctions LLC whose decision shall be final and binding on both parties hereto. The laws governing this Agreement are those of State of California without giving effect to conflict of laws principles thereof. 15. Searches & Seizures reserves the right to refuse any purchases at its sole discretion and take other necessary action to protect its interests. The terms contained in this agreement are subject to change without prior notice. Any changes will be posted on www.searchesandseizuresauctions.com and shall become effective immediately upon posting. By continuing to use the services of Searches & Seizures, Buyer acknowledges that it has read and agreed to be bound by these Terms and any modifications or revisions thereto as posted from time to time. No modification or waiver of these Terms shall be valid unless made in writing by authorized representatives of both parties hereto, including an officer or other authorized representative of Searches & Seizures. The failure to enforce any term of these Terms shall not act as a waiver or estoppel of any other breach or default hereunder or thereafter. If in the event, any provision(s) of these Terms shall be held invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, such provisions shall be severable and all remaining provisions shall remain in full force and effect. 16. By using our services or bidding on any auction, you agree that you have read this Agreement and understand it fully and agree to be bound by its terms. This agreement contains all the terms agreed upon between you and Searches & Seizures Auctions LLC, including any additional attachment if applicable, which together constitute a complete understanding with respect to the subject matter hereof. No representations, promises, warranties or undertakings concerning this Agreement have been made other than those contained herein. This Agreement shall be binding upon and may be enforced by each of the parties and their respective successors, heirs and assigns. 18. Searches & Seizures Auctions LLC reserves its right at any time without assigning any reason whatsoever and without prior notice to amend/modify/vary/revoke the terms and conditions of this Agreement. Searches & Seizures Auctions LLC reserves its right to change the format, content or nature of the services provided from time to time. It is agreed that in such cases no prior information shall be required to be given by Searches & Seizures Auctions LLC and such changes shall be binding on you. 19. This Agreement constitutes the entire agreement between you and us and supersedes all previous agreements between you and us with respect to the subject matter hereof. No waiver, alteration, modification or amendment of any provision of this Agreement shall bind either party unless made in writing and signed by both parties. 20. All references in this Agreement to the singular shall include the plural and vice versa, all references to gender or masculine gender shall include the feminine and neuter genders as appropriate. Notwithstanding anything contained herein above, nothing contained herein shall prevent Searches & Seizures Auctions LLC from approaching any court of competent jurisdiction for obtaining injunctive reliefs against you or restraining your activities which are inconsistent with the terms hereof or otherwise prejudicial to Searches & Seizures Auctions LLC. In such event, you hereby expressly agree to submit to the exclusive jurisdiction of such courts. 21. All communications between us regarding this Agreement shall be in writing and may be sent via email or regular mail. This agreement is effective upon your acceptance at registration of the event, or, participation in and shall remain in full force until terminated by Searches & Seizures and in their sole discretion. 23. By accepting the terms of this Agreement, you agree that Searches & Seizures Auctions LLC may use your name, logo, and/or any other material related to you or your business for the purpose of marketing or advertising Searches & Seizures Auctions LLC. Nothing in this Agreement shall be deemed to grant either party an exclusive right on behalf of the other. 24. The headings herein are solely for convenience and shall not affect the interpretation hereof. 25. This Agreement is governed by the laws of California and both parties agree to submit to the exclusive jurisdiction of courts situated in California for adjudication of all disputes arising out of or relating to this Agreement or any part hereof. Both parties irrevocably waive their respective rights to a trial by jury with respect to any dispute arising out of or relating to this Agreement. 26. This Agreement may be executed in multiple counterparts (which, when taken together, shall constitute one and the same document) and delivered by facsimile or electronic transmission (e.g., a PDF file), each of which shall be deemed to be an original instrument but all of which together shall constitute one and the same Agreement. 27. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions will remain in full force and effect. 28. The rights granted herein are personal to you and may not be assigned or transferred without our prior written consent. Searches & Seizures Auctions LLC may assign this Agreement without your consent provided that no material change is made to the terms and conditions hereof. 29. No waiver of any breach or default hereunder shall be effective unless in writing and signed by both parties, and no such waiver shall be deemed a waiver of any subsequent breach or default of the same provision. 30. This Agreement sets forth the entire understanding and agreement between you and Searches & Seizures Auctions LLC with respect to its subject matter, superseding all prior statements (written or oral), negotiations, representations, warranties or agreements between us respecting its subject matter. 31. Other than as provided herein, nothing in this Agreement creates any third-party beneficiary rights that are enforceable by anyone other than you or Searches & Seizures Auctions LLC. 32. Unless otherwise noted in the auction catalog or announced by Searches & Seizures staff before or during auction proceedings, all items are sold ?AS IS, WHERE IS" with no warranties or guarantees of any kind whatsoever. It is the buyer?s responsibility to inspect all items before bidding. No adjustments will be allowed after auction is finalized and said lot is considered sold. Buyers should thoroughly examine photographs prior to bidding as they reflect actual condition of the lot(s) being offered for sale by Searches & Seizures. Descriptions in catalog and/or online listings may not fully describe the item including wear, age, repair or other conditions that can only be seen when an item is examined closely. All such information taken from third party sources (including appraisals and certificates of authenticity) must be independently verified by prospective buyers. Prospective buyers shall not rely on such information as a definitive statement of fact, but should satisfy themselves by examination or otherwise as to the correctness of each statement made.
